Terms of Service

These Terms govern your access to and use of Q2T Suite. Please read them carefully — by creating an account or using the Service, you agree to be bound by them.

1Definitions

For purposes of these Terms:

"Account" means a registered Q2T Suite user account.

"AI Features" means any artificial intelligence, machine learning, automated assistance, recommendation systems, content generation tools, or similar technologies made available through the Service.

"AI Output" means any text, questions, games, assessments, recommendations, suggestions, images, lesson plans, or other materials generated in whole or in part by AI Features.

"Authorized User" means any individual who accesses or uses the Service under an individual account or on behalf of an Organization, including teachers, administrators, staff members, employees, contractors, tutors, volunteers, or other authorized persons.

"Content" means any information, educational material, files, text, images, PDFs, games, quizzes, tests, assignments, lesson plans, comments, grades, student records, or other material uploaded, created, generated, stored, or shared through the Service.

"Marketplace" means any present or future commercial platform operated by Q2T Suite that allows educators or creators to distribute, license, purchase, sell, subscribe to, or otherwise monetize educational content. In all Marketplace interactions, Q2T Suite acts solely as a platform provider.

"Official Q2T Resources" means educational materials, templates, games, assessments, lesson plans, or other content created, commissioned, curated, licensed, or officially published by Q2T Suite.

"Organization" means any individual, school, school district, college, university, educational institution, tutoring center, nonprofit organization, government entity, business, or other person or entity using or administering the Service.

"Private Library" means educational content that is visible only to the account owner and users explicitly authorized by that owner.

"Public Library" means educational resources voluntarily published by users for access by the Q2T Suite community.

"School" means a primary school, secondary school, college, university, or other educational institution participating in or using the Service.

"Service" means the Q2T Suite website, applications, educational tools, AI services, games, assessments, databases, APIs, mobile applications, integrations, future products, and all related services operated by Q2T Suite.

"Student" means an individual participating in educational activities through the Service under the supervision or authorization of a Teacher or School.

"Subscription" means any free, paid, trial, promotional, enterprise, school, creator, or future commercial plan offered by Q2T Suite.

"Teacher" means an educator, instructor, administrator, tutor, or other authorized educational professional using the Service.

"User" means any person or organization accessing or using the Service.

"User Content" means all Content created, uploaded, generated, imported, stored, or shared by users.

"Workspace" means any environment within the Service where educational content may be created, stored, shared, managed, or collaboratively edited.

2Introduction

Welcome to Q2T Suite.

Q2T Suite is an educational technology platform designed to help educators create engaging learning experiences through interactive games, assessments, classroom management tools, artificial intelligence, educational analytics, collaborative content libraries, and other instructional resources.

These Terms of Service ("Terms") govern your access to and use of the Service.

By creating an account, clicking an "I Agree" checkbox, accessing, browsing, or using any part of the Service, you agree to be legally bound by these Terms and by all policies incorporated by reference, including our Privacy Policy.

If you do not agree with these Terms, you must not use the Service.

The Service is intended to evolve over time through new products, features, artificial intelligence capabilities, mobile applications, APIs, educational tools, enterprise services, and commercial offerings. Unless separate terms expressly apply, references in these Terms to existing features or products shall also apply, where appropriate, to future versions, enhancements, successor products, and related services operated by Q2T Suite.

3Our Educational Mission

Q2T Suite was built to empower educators.

Our mission is to help teachers create better learning experiences while reducing administrative work through modern educational technology.

Artificial intelligence is intended to assist educators—not replace professional educational judgment.

Teachers remain responsible for reviewing instructional materials, evaluating students, assigning grades, supervising classroom activities, and ensuring that educational decisions are appropriate for their students.

Nothing in this section creates any contractual obligation regarding future products, features, availability, or functionality.

3.1No Guarantee of Future Features

Nothing in this Section shall be interpreted as a promise or guarantee that any current or future feature, artificial intelligence capability, subscription plan, educational resource, integration, or functionality will remain available for any specific period of time.

4Acceptance of these Terms

By registering, clicking "I Agree", or using the Service, you represent that:

you will comply with all Organization policies applicable to your use of the Service.

If you access the Service on behalf of an Organization, you represent and warrant that you have authority to bind that Organization to these Terms.

4.1Continuous Acceptance and Records

Your continued access to or use of the Service confirms your ongoing acceptance of these Terms, as they may be updated from time to time. Q2T Suite may record and store account creation timestamps, form submission records, IP address details (where permitted by applicable privacy laws), and active version numbers to verify valid agreement and consent.

5Eligibility

Teacher accounts may be created only by individuals legally capable of entering into binding agreements or who are authorized to act on behalf of an Organization.

Student accounts may be used only under the supervision or authorization of a Teacher, Parent, Organization, or other legally authorized adult, as required by applicable law.

Q2T Suite reserves the right to refuse registration, suspend access, or terminate accounts that fail to meet these eligibility requirements.

5.1Right to Verify

Q2T Suite may request reasonable information to verify eligibility, identity, age requirements, institutional affiliation, or authority to act on behalf of an Organization where reasonably necessary.

6Educational Purpose

Q2T Suite is designed to support educational activities by providing Teachers, Organizations, and Authorized Users with digital tools for creating, managing, delivering, and evaluating educational content.

The Service may include interactive games, assessments, quizzes, classroom management tools, reports, grading features, artificial intelligence capabilities, collaboration features, educational analytics, content libraries, marketplaces, and other instructional resources.

The Service is intended to assist educators and does not replace professional educational judgment.

Teachers, Organizations, and Authorized Users remain solely responsible for selecting appropriate educational materials, supervising students, evaluating student performance, assigning grades, maintaining academic integrity, and complying with applicable educational policies and laws.

Nothing in the Service guarantees any particular educational, academic, behavioral, or learning outcome.

6.1Independent Educational Decisions

Users remain solely responsible for determining whether any educational content, AI-generated material, assessment, recommendation, lesson plan, or instructional resource is appropriate for their students, curriculum, educational standards, local legal requirements, and the internal policies of their Organization.

7User Accounts

To access certain features of the Service, you must create a valid Q2T Suite account using one of the authentication methods supported by the Service.

You agree to:

immediately notify Q2T Suite if you believe your account has been compromised.

You are responsible for all activities that occur under your account, except to the extent caused by Q2T Suite's own negligence or willful misconduct.

Accounts are personal unless an organizational account or other sharing feature expressly permits multiple authorized users.

You may not:

circumvent account limitations or subscription restrictions.

7.1Security Incident Reporting

Users agree to notify Q2T Suite without unreasonable delay if they become aware of any unauthorized access to their account or any suspected security incident involving the Service.

7.2Identity Verification

Q2T Suite reserves the right to require additional identity verification before restoring access to an account where ownership is disputed or where suspicious activity has been detected.

8Authentication and Account Security

Q2T Suite may support authentication methods including Google Sign-In and other third-party identity providers.

By signing in through a third-party authentication provider, you authorize Q2T Suite to receive only the information necessary to establish, maintain, and authenticate your account as permitted under the permissions you approve with that provider.

Depending on the permissions you approve, this information may include your name, email address, profile identifier, profile image, or language preferences.

Q2T Suite requests and processes only the information reasonably necessary to authenticate users, operate, maintain, secure, improve, and provide the Service, subject to the Privacy Policy.

8.1Automated Access

You may not access, monitor, copy, scrape, crawl, harvest, or otherwise collect data from the Service through automated means, including bots, spiders, scripts, or similar technologies, except where expressly authorized in writing by Q2T Suite.

8.2Reverse Engineering

You may not reverse engineer, decompile, disassemble, attempt to discover the source code, underlying models, algorithms, prompts, workflows, or proprietary technology used by the Service, except where such restrictions are prohibited by applicable law.

8.3System Interference

You may not interfere with, disrupt, overload, damage, disable, impair, or otherwise compromise the security, integrity, availability, or proper operation of the Service or any related systems or networks.

8.4Circumvention of Restrictions

You may not bypass, disable, circumvent, or attempt to circumvent any security feature, subscription limitation, access restriction, usage limit, payment requirement, or technological protection implemented by Q2T Suite.

8.5Good Faith Use

The Service is intended solely for legitimate educational and authorized business purposes. Users may not use the Service in any manner that is fraudulent, deceptive, abusive, or intended to harm Q2T Suite, other users, or third parties.

8.6Third-Party Authentication Services

Q2T Suite is not responsible for the availability, security, functionality, or policies of any third-party authentication provider. Your use of such services is governed solely by the applicable provider's own terms, privacy policies, and security practices.

9Organization Accounts and Data Processing Addendum (DPA)

The Service may be used by individual educators, Organizations, and Authorized Users.

Where accounts are managed by an Organization, that Organization may administer user access, subscriptions, licenses, permissions, and related administrative functions.

Organizations may designate one or more administrators to manage user accounts, permissions, subscriptions, licenses, and other administrative functions within their Organization.

Teachers and other Authorized Users remain responsible for ensuring that their use of the Service complies with the internal policies of their Organization.

9.1Data Processing Addendum (DPA)

Organizations and institutional customers requiring a formal Data Processing Addendum (DPA) to meet institutional or statutory compliance obligations may request Q2T Suite's standard DPA. Upon mutual execution, such DPA shall supplement these Terms with respect to the processing of institutional personal data governed by that agreement.

9.2Organization Responsibility

Organizations are solely responsible for determining which individuals are authorized to access the Service on their behalf and for managing user permissions within their Organization.

10Student Accounts

Student accounts exist solely for educational participation.

Students may access only those activities, games, assignments, assessments, reports, or educational resources made available to them by authorized educators.

Students and any person accessing a Student Account are prohibited from attempting to:

engage in academic dishonesty through the Service.

Q2T Suite is designed so that students cannot view another student's educational information unless expressly authorized by the responsible educator or educational institution.

Teachers and Organizations remain solely responsible for determining what student information is entered into the Service and for ensuring that such information is collected and used in compliance with applicable laws and their internal policies.

10.1Student Supervision

Q2T Suite does not supervise or monitor students. Organizations, Teachers, Parents, and other authorized adults remain solely responsible for supervising student use of the Service.

11Subscription Plans and Billing

Q2T Suite may offer free plans, paid subscriptions, Organization licenses, enterprise agreements, Marketplace services, Creator programs, usage-based services, AI services, and other current or future commercial offerings.

Subscription features, storage limits, AI usage, available functionality, and pricing may vary by plan.

Unless otherwise stated at the time of purchase, all paid subscriptions automatically renew at the end of each billing period until canceled by the subscriber before the next billing cycle.

By purchasing a subscription, you authorize Q2T Suite and its authorized payment processors to charge your selected payment method for applicable subscription fees, taxes, and authorized charges. You represent that you are authorized to use the selected payment method.

If payment cannot be successfully processed, Q2T Suite may suspend premium functionality, limit access to paid features, downgrade the account, prevent creation of additional content, suspend AI usage, suspend Marketplace participation, or otherwise limit premium services until payment is received.

Failure to pay does not automatically require immediate deletion of User Content. Q2T Suite may retain or delete User Content in accordance with these Terms, the Privacy Policy, applicable law, and its internal data retention practices.

Subscription fees are non-refundable except where required by applicable law or expressly stated at the time of purchase.

Q2T Suite reserves the right to modify subscription pricing, billing cycles, feature availability, storage limits, AI usage quotas, and commercial offerings upon reasonable notice where required by law. Such changes will not apply retroactively to subscription periods that have already been paid for, unless otherwise required by applicable law.

11.1Taxes

Unless expressly stated otherwise, all fees are exclusive of applicable taxes, duties, levies, or governmental charges. Users are responsible for any applicable taxes associated with their purchase, except taxes based on Q2T Suite's income.

11.2Promotional Pricing

Q2T Suite may offer promotional pricing, discounts, free trials, introductory offers, educational discounts, or other incentives from time to time. Unless expressly stated otherwise, such offers are temporary, may be modified or discontinued at any time, and do not create any right to continued discounted pricing.

12User Content

12.1Ownership of User Content

Users retain all ownership rights in original User Content they create, upload, import, or generate through the Service (including games, quizzes, assessments, lesson plans, worksheets, presentations, flashcards, classroom activities, grading materials, AI-assisted content, images, PDF files, and other educational resources), subject to the licenses granted under these Terms. Nothing in these Terms transfers ownership of User Content to Q2T Suite.

12.2License Granted to Q2T Suite

To operate, secure, maintain, improve, and provide the Service, you grant Q2T Suite a worldwide, non-exclusive, royalty-free, transferable (solely in connection with the operation, restructuring, sale, merger, or transfer of the Service), sublicensable license to host, store, back up, reproduce, display, process, convert, transmit, index, secure, analyze, and otherwise use your User Content.

This license also permits Q2T Suite to use anonymized and aggregated usage information for product improvement, analytics, performance optimization, security, fraud prevention, feature testing, and operational development purposes.

This license automatically ends for Private Library content when the content is permanently deleted from our production systems, except to the extent copies remain in backups, archives, disaster recovery systems, or where retention is required by law or legitimate business purposes.

12.3User Responsibilities

You represent and warrant that:

you are responsible for reviewing educational accuracy before using materials with students.

12.3.1Sensitive Information

Users should not upload sensitive personal information unless reasonably necessary for legitimate educational purposes and permitted by applicable law.

12.4AI-Generated Content

Educational materials generated through AI tools remain your responsibility. Q2T Suite does not claim ownership over AI-generated educational materials created for you through the Service. However, AI-generated content should always be reviewed before classroom use. You remain solely responsible for verifying factual accuracy, curriculum alignment, educational suitability, age appropriateness, and legal compliance.

12.4.1AI Limitations

Artificial intelligence may generate inaccurate, incomplete, outdated, biased, or inappropriate content. Users should independently review all AI-generated content before relying on or distributing it.

12.5Feedback

If you voluntarily provide suggestions, ideas, feature requests, bug reports, or other feedback regarding the Service, you grant Q2T Suite a perpetual, irrevocable, worldwide, royalty-free license to use, modify, implement, publish, commercialize, or incorporate that feedback into the Service without compensation, attribution, or further permission. This section applies only to feedback about Q2T Suite and does not transfer ownership of your educational content.

12.6No Monitoring Obligation

Q2T Suite has no obligation to review, monitor, edit, verify, or approve User Content before it is uploaded, stored, shared, or used through the Service. However, Q2T Suite reserves the right, in its sole discretion, to remove, restrict, or disable access to any User Content at any time if it reasonably believes that doing so is necessary to protect the Service, comply with applicable law, or prevent harm.

12.7No Preservation Guarantee

Although Q2T Suite makes reasonable efforts to preserve User Content, Users remain solely responsible for maintaining their own backup copies of important educational materials. Q2T Suite does not guarantee that User Content will never be lost, corrupted, or become unavailable.

13Content Sharing and Community Library

13.1Private Content

By default, all User Content is private. Content stored in a user's Private Library remains accessible only to the account owner and to users whom the owner explicitly authorizes through sharing features provided by the Service. Q2T Suite will not make Private Library content available to other users without the owner's authorization, except where required by applicable law or as reasonably necessary to operate, secure, maintain, or support the Service.

Publishing content is always voluntary. Choosing not to publish content does not grant any other user permission to access, copy, modify, distribute, or otherwise use that content.

13.2Sharing Options

Q2T Suite may allow users to share educational resources with different audiences. Depending on available features and subscription plans, users may be able to share content with themselves, specific educators, their Organization, the Q2T Suite Community Library, or future commercial programs (including the Marketplace).

13.2.1Evolution of Sharing Features

Q2T Suite may introduce additional sharing options, permission levels, collaboration features, organizational workspaces, or other methods of sharing educational resources as the Service evolves.

13.3Community Library

The Community Library is designed to encourage collaboration among educators and reduce the time required to create educational materials. Participation is entirely voluntary. Before publishing content, users must confirm that they have all necessary rights to publish it and agree to the applicable Community Library License. Q2T Suite does not require users to contribute content to the Community Library in order to use the Service.

Choosing not to participate will not limit a user's ability to access or use core features, except where a specific feature expressly depends on Community Library participation.

13.4Community Library License

By voluntarily publishing content to the Community Library, you grant Q2T Suite and all users of the Service a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to access, use, import, copy, reproduce, modify, adapt, translate, combine with other educational resources, create derivative works, distribute within the Service, display, and otherwise use that content as part of the Service. Users agree that Community Library content may be freely copied, modified, adapted, and incorporated into other educational resources within the Service without attribution or compensation.

13.5Imported Copies

When another user imports Community Library content into their own account, a separate, independent working copy is created. Removing or unpublishing the original creation prevents future users from importing the original version, but does not affect, remove, or modify copies previously imported by other users. Imported copies become independent User Content of the importing user, subject to these Terms.

13.6Responsibility for Published Content

Users are solely responsible for ensuring that they have the legal right and authority to publish content to the Community Library and that publication does not violate applicable law, organizational rules, or third-party rights. Q2T Suite does not verify ownership before publication. If Q2T Suite receives a valid legal complaint or reasonably believes that published content violates law or third-party rights, it may remove, restrict, or disable access without prior notice.

13.7Content Moderation and Removal

Q2T Suite reserves the right, in its sole discretion and at any time, to review, remove, restrict, reclassify, or refuse any Community Library content that we reasonably believe violates these Terms, infringes intellectual property, contains unlawful or harmful material, promotes fraud, contains spam, is abusive or inappropriate for an educational environment, or presents legal, security, or operational concerns.

13.7.1Emergency Removal

Q2T Suite may immediately remove or disable access to any Community Library content where immediate action is reasonably necessary to protect users, comply with applicable law, respond to legal process, address security threats, or prevent significant operational harm.

13.8Future Marketplace

Q2T Suite may offer a Marketplace or commercial creator program allowing educators to monetize educational resources. Participation is voluntary and may be governed by separate agreements. Q2T Suite acts solely as a platform provider for Marketplace transactions. Publishing content to the Community Library does not automatically make that content available for sale or entitle the creator to compensation.

13.8.1Separate Marketplace Terms

Participation in any Marketplace or creator program may require acceptance of additional terms, licensing conditions, payment policies, tax documentation, identity verification, or other requirements established by Q2T Suite.

13.9Official Q2T Resources

Q2T Suite may create, publish, curate, modify, or distribute its own educational resources within the Service. Nothing in these Terms prevents Q2T Suite from independently creating educational resources similar to concepts, methods, prompts, workflows, structures, or ideas submitted by users, provided Q2T Suite does not intentionally reproduce a user's Private Content in violation of these Terms or applicable law.

13.10AI Generated Community Content

Educational resources generated through Q2T Suite's built-in AI tools may, depending on the sharing option selected by the user or the functionality of the Service, be published to the Community Library or other shared areas. Where designated as publicly shared, such content will be governed by the Community Library License and these Terms.

14Workspaces and Sharing Permissions

14.1Content Visibility

Q2T Suite allows users to organize educational content under different visibility levels (e.g., Private, Shared Workspace, Organization Workspace, Community Library, Marketplace). Availability, functionality, and permission levels may vary by subscription plan, Organization settings, administrative controls, or future product offerings.

14.2Sharing Permissions

The account owner determines whether content is shared and may grant different permission levels (e.g., View Only, Comment, Edit, Manage, Co-Owner). Owners and authorized Organization administrators may modify, revoke, or expand sharing permissions at any time, subject to system functionality.

14.3Collaborative Editing

When multiple users collaborate, each contributor is responsible for the content they add or modify. Q2T Suite does not determine ownership disputes regarding jointly created content. Q2T Suite is not obligated to preserve edit history or contribution records unless expressly provided as part of an applicable subscription plan.

14.4Organization Ownership and Access

Organizations may establish internal policies regarding ownership, sharing, retention, or use of educational materials created by their Authorized Users. Where supported, Organizations may access, manage, transfer, or retain educational content created within Organization-managed accounts in accordance with their internal policies and applicable law. Q2T Suite is not responsible for resolving employment or institutional ownership disputes.

15Intellectual Property

15.1Ownership of the Service

Except for User Content owned by users, Q2T Suite and its licensors retain all rights, title, and interest in and to the Service, including software, source code, databases, algorithms, scoring systems, educational workflows, AI prompts, game mechanics, visual designs, animations, graphics, icons, logos, trademarks, user interface designs, architecture, documentation, APIs, and mobile applications.

15.1.1Reservation of Rights

No rights are transferred to any user by implication, estoppel, or otherwise, except for the limited rights expressly granted under these Terms. All rights not expressly granted are reserved by Q2T Suite.

15.2Restrictions

Unless expressly authorized in writing, users may not:

remove or alter copyright notices, or attempt to access non-public areas of the Service.

15.3Trademarks

"Q2T Suite," its logos, branding, icons, product names, slogans, and related assets are trademarks or proprietary assets of Q2T Suite. Use without prior written consent is prohibited.

15.4Copyright Complaints (DMCA)

Q2T Suite respects intellectual property rights and will respond to valid DMCA copyright notices. Notifications must include identification of the copyrighted work, the allegedly infringing material, contact details, a good-faith statement, and a statement under penalty of perjury. Q2T Suite may remove or disable access to allegedly infringing content during investigation.

15.4.1Repeat Infringers and Misrepresentations

Q2T Suite may suspend or terminate accounts of repeat infringers. Persons who knowingly submit false copyright complaints may be liable for damages under applicable law.

15.5Independent Development

Q2T Suite may independently develop, acquire, license, or offer products, services, educational resources, AI models, workflows, or features that compete with or overlap with user ideas, concepts, prompts, or methods, provided it does not intentionally violate express user ownership rights.

16Artificial Intelligence and Third-Party Providers

16.1AI Features and Third-Party Providers

Q2T Suite may provide AI Features powered by proprietary systems or third-party AI service providers (such as OpenAI, Google Cloud AI, Anthropic, or other current and future providers). Q2T Suite reserves the right to change, add, or replace third-party AI providers, models, versions, or underlying technologies at any time without updating these Terms or providing prior notice. Q2T Suite is not responsible for the availability, performance, or operational policies of third-party AI providers.

16.2AI Data Usage and Protection

To improve system reliability, user experience, performance, and platform security, Q2T Suite may collect and analyze anonymized and aggregated usage information. Q2T Suite does not use private educational content, private assessments, or private classroom prompts created by teachers to train public AI models without explicit authorization.

16.3AI Limitations and Assistive Purpose

AI Features are provided on an "as available" basis solely as assistive instructional tools and must not replace human educational judgment. AI may produce inaccurate, incomplete, outdated, biased, or misleading information. Users remain solely responsible for independently reviewing and verifying all AI Output before using it for teaching, grading, assessment, evaluation, disciplinary, or other educational decisions.

16.3.1Similar AI Outputs

AI Features may occasionally generate outputs that resemble content generated for other users or publicly available data. Similar outputs do not create ownership rights or indicate unauthorized disclosure of Private Content.

16.4AI Usage Limits and Availability

Q2T Suite may establish, modify, or suspend limits on requests, tokens, generated content, processing time, storage, concurrent usage, or subscription-based AI access to maintain system capacity, fair usage, or operational performance. Continuous or uninterrupted AI availability is not guaranteed.

16.5No Confidential Treatment of AI Prompts

Except as expressly provided in Section 16.2, prompts, instructions, and other input submitted to AI Features are not treated as confidential information. Q2T Suite may process, log, and retain such input as reasonably necessary to operate, secure, support, troubleshoot, and improve the Service.

17Acceptable Use and User Conduct

17.1Lawful and Educational Use

You agree to use the Service solely for lawful purposes and in an age-appropriate educational manner. Content created, uploaded, or shared must not be unlawful, fraudulent, abusive, harassing, threatening, defamatory, discriminatory, or disruptive to an educational environment.

17.2Account and System Security

Users may not:

access non-public data, other users' accounts, grades, or records without authorization.

17.3Automated Access and Reverse Engineering Misuse

Users may not use unauthorized bots, scripts, crawlers, or scrapers to access or extract data from the Service, nor attempt to reverse engineer or appropriate Q2T Suite's proprietary technology, algorithms, AI models, prompts, or workflows.

17.4AI and Community Content Misuse

AI features and Community Library sharing must not be used to generate or distribute unlawful content, malware, phishing materials, fraudulent educational materials, cheating/examination fraud tools, or material that infringes intellectual property or intentionally presents false information as fact.

17.5Examination Security and Academic Integrity

Teachers and Organizations are responsible for protecting the confidentiality of assessment materials, answer keys, and grading rubrics. Q2T Suite is not responsible for loss of confidentiality resulting from content voluntarily published to shared areas.

17.6Enforcement and No Waiver

Q2T Suite may investigate suspected violations and suspend, restrict, remove content, or terminate accounts. Failure to enforce any provision in a specific instance does not constitute a waiver of the right to enforce it in the future.

18Third-Party Services

18.1Integration and Third-Party Terms

The Service may integrate with third-party providers (including cloud infrastructure providers, payment processors, authentication providers, AI services, and content delivery networks). These services operate independently under their own terms and privacy practices.

18.2No Responsibility and Service Changes

Q2T Suite is not responsible for third-party availability, security, performance, or policies. Q2T Suite may add, replace, modify, or discontinue third-party integrations at any time without liability or breach of these Terms. Links to external third-party websites are provided solely for convenience and do not imply endorsement.

18.3Payment Processing

Subscription payments and financial transactions are handled by third-party payment processors for billing, recurring charges, tax compliance, identity verification, and fraud prevention. Q2T Suite does not store full payment card details.

19Privacy, Security, and Data Retention

19.1Privacy Policy and Compliance

Use of the Service is governed by our Privacy Policy, which is incorporated into these Terms. Users (including Schools and educators) are responsible for ensuring they have lawful authority and required consents to upload, process, or share personal data or student records in compliance with applicable privacy laws.

19.2Commercially Reasonable Security

Q2T Suite implements commercially reasonable administrative, technical, and physical security measures designed to protect the integrity and security of the Service and user information. However, no security system is completely impenetrable, and Q2T Suite cannot guarantee absolute security against unauthorized access, cyberattacks, or security incidents.

19.3Data Retention and Backups

Data is retained as necessary to provide the Service, comply with legal obligations, preserve system backups, resolve disputes, and maintain platform operational integrity. Following an account deletion request or subscription termination, Q2T Suite may retain backup copies, audit logs, and legally required records for a reasonable period before permanent deletion, in accordance with applicable law and system maintenance procedures.

19.4Account Deletion and Educational Records

Users may request account deletion through the Service. Deletion does not automatically erase content voluntarily shared, published to the Community Library, or imported by others, nor data retained in system backups or legal records. Educational institutions remain responsible for managing and retaining formal educational records and grades.

19.5Product Analytics and Security Incidents

Q2T Suite may collect aggregated, anonymized, or de-identified usage data for system performance, security, and product enhancement. In the event of a confirmed security incident affecting personal information, Q2T Suite will investigate, take mitigation measures, and issue notifications as required by applicable law.

19.6International Data Processing

Depending on your location, information collected through the Service may be processed, stored, or transferred to countries other than your own, including the United States, subject to appropriate safeguards as described in the Privacy Policy and as required by applicable law.

20Service Availability and Beta Features

20.1Availability and Maintenance

The Service is provided striving for reliability, but continuous, uninterrupted, error-free, or delay-free operation is not guaranteed. Q2T Suite does not guarantee uninterrupted availability. Service may be temporarily unavailable due to scheduled or emergency maintenance, system updates, hardware failures, cloud infrastructure issues, or force majeure events.

20.2Beta and Experimental Features

Q2T Suite may offer features, tools, AI capabilities, or services designated as Beta, Experimental, Early Access, or Preview. Beta Features are provided "as is" for evaluation purposes and may contain errors, experience downtime, or be modified, suspended, or permanently removed at any time without prior notice or liability.

20.3Backups and Disaster Recovery

Users must maintain independent backup copies of important educational content. Q2T Suite is not an exclusive storage provider and makes no recovery time guarantees following data corruption, catastrophic events, or hardware failures.

20.4Former Accounts and Capacity Management

Following subscription expiration or account changes, Q2T Suite may retain data for a reasonable period without guaranteeing ongoing account access. Q2T Suite may throttle or limit service access when necessary to maintain system stability and performance.

21Suspension and Termination

21.1Broad Authority to Suspend or Terminate

Q2T Suite may suspend, restrict, or terminate user accounts immediately, with or without prior notice, where necessary to protect the Service, protect other users, maintain system security, comply with legal obligations, investigate suspected violations of these Terms, address non-payment, or prevent operational or financial harm. Q2T Suite is not liable for business interruptions or data unavailability resulting from lawful suspension or termination.

21.2Discontinuation by User

Users may stop using the Service or request account deletion at any time. Discontinuation or account deletion does not relieve users of accrued payment obligations or legal liabilities incurred prior to termination.

21.3Effect of Termination and Survival

Upon termination, access to the Service ceases. Content published to the Community Library or imported by other users remains active under the applicable licenses. Provisions regarding Intellectual Property, User Content licenses, AI, Payment Obligations, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Data Retention survive termination.

21.4No Obligation to Restore

Q2T Suite has no obligation to reinstate, restore, or reactivate any account following suspension or termination. Any decision to reinstate an account is made at Q2T Suite’s sole discretion.

22Disclaimer of Warranties

22.1Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, Q2T SUITE DISCLAIMS ALL EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

22.2No Operational or Content Guarantees

Q2T Suite does not guarantee that the Service will meet user requirements, be uninterrupted or error-free, that content/AI outputs will be accurate, or that user data will never be lost or corrupted.

22.3Educational and Third-Party Disclaimer

Q2T Suite provides educational technology tools only and does not control grading, curriculum choices, or student outcomes. Q2T Suite disclaims liability for internet failures, user device errors, or third-party content, software, and provider failures.

23Limitation of Liability

23.1Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Q2T SUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA/CONTENT, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR AI-RELIANCE LOSSES), REGARDLESS OF THE LEGAL THEORY.

23.2Aggregate Liability Cap

Q2T SUITE'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY THE USER TO Q2T SUITE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

23.3Essential Basis

The limitations set forth in this Section form an essential basis of the bargain between the parties, and Q2T Suite would not provide the Service without such limitations.

23.4No Liability for User Content

Q2T Suite is not liable for any loss, damage, or harm arising from User Content created, published, shared, or made available by other users, including content accessed, imported, or reused through the Community Library or any future Marketplace.

24Indemnification

You agree to defend, indemnify, and hold harmless Q2T Suite and its affiliates, officers, employees, contractors, and licensors from and against any claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; (d) your infringement of third-party rights; or (e) your misuse of AI features or Community Library publishing.

25Force Majeure

Q2T Suite shall not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, cyberattacks, power outages, internet outages, third-party cloud infrastructure failures (including AWS, Google Cloud, or third-party AI providers), or governmental actions.

26Electronic Communications

By using the Service, you consent to receive legal notices, agreements, invoices, subscription updates, and security alerts electronically via email or platform postings. Electronic communications satisfy statutory written notice requirements. You are responsible for keeping your account email address current.

27Changes to the Service

Q2T Suite continuously improves its offerings and may add, update, modify, replace, or discontinue features, subscription tiers, AI tools, or integrations at any time without creating obligations regarding future product availability.

28Changes to these Terms

Q2T Suite may modify these Terms from time to time. Where required by law, reasonable notice of material changes will be provided. Continued use of the Service after effective dates of revisions constitutes acceptance of the updated Terms.

29Governing Law and Dispute Resolution

29.1Governing Law and Binding Arbitration

These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Any legal dispute, claim, or controversy arising out of these Terms or the Service shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) in New York.

29.2Exceptions and Waivers

Either party may seek small claims court resolution or emergency injunctive relief in court for intellectual property matters. YOU AND Q2T SUITE WAIVE ANY RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE ACTIONS. If arbitration does not apply, exclusive jurisdiction lies in the state or federal courts located in Nassau County, New York.

30Miscellaneous

30.1Entire Agreement and Severability

These Terms and the Privacy Policy constitute the entire agreement between you and Q2T Suite. If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force.

30.2Assignment and Relationship

Q2T Suite may assign its rights and obligations under these Terms in connection with a merger, acquisition, or corporate restructuring. Users may not assign their rights without prior written consent. No agency, partnership, employment, or joint venture relationship is created by these Terms.

30.3Export Control and Sanctions

Users represent that they are not located in sanctioned jurisdictions or listed on government prohibited-party lists and agree to comply with all applicable U.S. export control and trade sanctions laws.

30.4No Professional Advice and Language

The Service is provided for educational/informational purposes only and does not constitute legal, tax, or professional advice. The English version of these Terms governs in the event of translation discrepancies.

30.5No Reliance

Users acknowledge that they have not relied upon any statement, representation, promise, marketing material, demonstration, or expectation not expressly contained in these Terms when deciding to use or subscribe to the Service.

30.6Business Transfers

In the event that Q2T Suite or substantially all of its assets are acquired, merged, reorganized, or transferred, user accounts, content, and related information may be transferred as part of that transaction, subject to applicable law and the Privacy Policy.

30.7Section Headings

Section headings in these Terms are included for convenience only and do not affect the interpretation or construction of these Terms.
